Agreement to Terms

These Terms of Use establish a legally binding contract between you and BdThemes regarding access to bdthemes.com and affiliated platforms. By accessing the Site, you acknowledge reading and accepting these terms completely. Disagreement with any provision prohibits your Site use and requires immediate discontinuation.

BdThemes reserves discretionary rights to modify these Terms at any time. Updates occur through changes to the “Last updated” date; continued Site use constitutes acceptance of revisions. You bear responsibility for periodically reviewing updates.

The Site is not intended for jurisdictions where distribution violates local laws. The Site targets users aged 13 and above. Minors require parental permission and supervision.

Intellectual Property Rights

All Site content — including source code, databases, software, designs, audio, video, text, photographs, graphics, and trademarks — belongs to BdThemes or its licensors and is protected through copyright, trademark, and other intellectual property laws.

Eligible users receive a limited licence to access the Site and download content portions for personal, non-commercial purposes only. Copying, reproducing, republishing, uploading, transmitting, or exploiting content for commercial purposes without express written permission is prohibited.

User Representations

By using the Site, you represent and warrant that:

  1. All registration information submitted is true, accurate, current, and complete.
  2. You maintain information accuracy and promptly update registrations.
  3. You possess legal capacity and agree to these Terms.
  4. You are not under age 13.
  5. You are not a minor in your jurisdiction, or you have parental permission.
  6. You will not access through automated means (bots, scripts), except disabled users using digital assistance.
  7. You will not use the Site for illegal or unauthorized purposes.
  8. Your use complies with applicable laws and regulations.

Providing false information authorises account suspension or termination without refund.

User Registration

Registration is required for certain features. You must maintain password confidentiality and assume responsibility for all activity on your account. BdThemes reserves the right to remove usernames deemed inappropriate or objectionable. Violating registration requirements may result in termination and non-refundable fees.

Prohibited Activities

You agree not to:

  • Systematically retrieve data or content to create databases without written permission.
  • Make unauthorised use of the Site, including collecting user information for unsolicited communications.
  • Advertise goods or services without BdThemes’ approval.
  • Circumvent, bypass, or interfere with security features.
  • Sell or transfer your user profile.
  • Engage in unauthorised framing or linking.
  • Delete or alter copyright notices from any content.
  • Resell products in third-party marketplaces without permission.
  • Use the Site to transmit or upload malicious code.

User-Generated Contributions

The Site may offer blogs, forums, and submission features. Contributions become non-confidential and non-proprietary. By posting, you represent that your submissions do not infringe third-party rights, are not false or misleading, are not spam or unsolicited advertising, and do not contain offensive, harassing, or unlawful material.

Contribution Licence

Posting contributions grants BdThemes an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to use contributions for any lawful purpose, commercial or otherwise. Contributors retain their intellectual property rights but waive moral rights over submitted material.

GPL Compatibility Notice

All BdThemes free and premium products — including WordPress themes, plugins, and related digital assets — are licensed under the GNU General Public License (GPL) or are compatible with the GPL. Users may use, modify, and redistribute products per GPL terms. Premium versions include additional services while maintaining GPL-licensed core code.

Guidelines for Reviews

Reviews posted on the Site must:

  1. Reflect firsthand experience with the reviewed subject.
  2. Avoid offensive, abusive, racist, or hateful language.
  3. Exclude discriminatory references based on religion, race, gender, national origin, age, or orientation.
  4. Not reference illegal activity.
  5. Not involve competitor affiliation for negative reviews.
  6. Not contain false or misleading statements.
  7. Not be part of organised review-posting campaigns.

BdThemes may accept, reject, or remove reviews in its sole discretion without liability.

Special Promotion Events

Special events (such as Wheel of Fortune promotions) are governed by their own rule sets. Key refund rules for event purchases:

  • Refund requests must be made during the active offer period.
  • Refund requests after the offer closes are rejected.
  • Last-day purchases may be refunded within 24 hours after the offer concludes.
  • Refund claims require up to 4 business days processing.
  • Suspicious activity may result in refund denial.

Third-Party Websites and Content

The Site may contain links to third-party websites. BdThemes does not investigate, monitor, or verify third-party accuracy or appropriateness and bears no responsibility for their content. Linking does not imply endorsement. Transactions with third parties occur exclusively between you and the provider.

Site Management

BdThemes reserves the right to:

  1. Monitor the Site for violations of these Terms.
  2. Take legal action against violators, including reporting to law enforcement.
  3. Refuse, restrict, limit, or disable content without limitation or liability.
  4. Remove excessive or burdensome files without notice.
  5. Otherwise manage the Site to protect rights and ensure proper functioning.

Copyright Infringements

BdThemes respects intellectual property rights. If you believe content on the Site infringes your copyright, please contact us immediately with details of the alleged infringement. Federal law holds claimants liable for misrepresentation damages — consult an attorney before filing a notification if you are uncertain.

Term and Termination

These Terms remain effective during your use of the Site. BdThemes reserves the right to deny access to any person, for any reason, including breach of these Terms, without notice or liability. BdThemes may terminate accounts and delete content at any time without warning. Terminated users may not re-register under any name.

Modifications and Interruptions

BdThemes may change, modify, or remove Site content at any time without notice. Site availability is not guaranteed; hardware, software, and maintenance issues may cause interruptions. BdThemes bears no liability for inability to access the Site during downtime.

Governing Law

These Terms and your use of the Site are governed by applicable law. Any disputes will be resolved through binding individual arbitration under the American Arbitration Association Commercial Arbitration Rules, except for matters involving intellectual property enforcement, alleged theft, privacy invasion, or injunctive relief, which may be brought in a court of competent jurisdiction. Class actions and representative proceedings are not permitted.

License Ownership Rights & Regulations

Licence Ownership Rights

  1. You may use licences on websites you own or control.
  2. Licence transfer between domains is permitted.
  3. Maximum licences per package type:
    • Personal / Single: 1 website
    • Business / 5-licence: 5 websites simultaneously
    • Developer / Agency / Unlimited: up to 1,000 websites simultaneously
    • Extended: up to 1,000 websites simultaneously (increasable per additional Extended purchases)

Licence Ownership Regulations

  1. Plugin use for creating illegal websites is strictly prohibited.
  2. Licence reselling — directly or through third-party marketplaces — is prohibited.
  3. Developer / Agency users may use White Label Branding and pair plugins with themes for clients; code modification or logo removal is not permitted.
  4. Compliance with local government laws is strongly required.
  5. Licence extensions apply to Developer / Agency users only.
  6. Plugin modifications are prohibited; violations may result in account termination.

Disclaimer

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. To the maximum extent permitted by law, BdThemes disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. BdThemes makes no warranties regarding accuracy or completeness of Site content and assumes no liability for errors, personal injury, property damage, unauthorised access, data compromise, service interruptions, or transmitted malware.

Limitations of Liability

BdThemes, its directors, employees, and agents bear no liability for direct, indirect, consequential, exemplary, incidental, special, or punitive damages — including lost profit, revenue, or data — arising from your use of the Site, even if advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold BdThemes, its subsidiaries, affiliates, officers, agents, partners, and employees harmless from any third-party claims, losses, damages, liabilities, or demands (including reasonable attorney fees) arising from your Contributions, Site use, breach of these Terms, breach of any representation or warranty, violation of third-party rights, or harmful acts toward other users.

Miscellaneous

These Terms and any Site policies constitute the entire agreement between the parties. Failure to enforce any provision does not waive that right. If any provision is unlawful, void, or unenforceable, that provision is severable and the remaining Terms stay valid. No joint venture, partnership, employment, or agency relationship arises from these Terms or Site use.
